Terms of Use

These Terms of Use ("Terms") govern your access to and use of Evaaluate ("Service"), operated by ORIS Intelligence Pvt. Ltd. ("Company", "we", "us"). By accessing or using the Service, you agree to these Terms.

1. Service Description

Evaaluate is an AI-assisted statutory valuation platform for licensed professionals in India. The Service assists with data gathering, market research, computation, and report generation for statutory valuations. It does not provide legal, financial, or investment advice.

2. Eligibility

The Service is available to licensed professionals only: Chartered Accountants (CAs), IBBI Registered Valuers (RVs), SEBI Merchant Bankers (MBs), Company Secretaries (CSs), and their authorized staff. You must be at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized access. You are responsible for all activity under your account.

4. Professional Responsibility

The certifying professional bears full responsibility for the valuation opinion. Evaaluate produces certification-ready output, but the professional reviews assumptions at three mandatory gates, applies professional judgment, and certifies the report with their name and registration number. The tool assists; it does not replace professional judgment.

5. Intellectual Property

You retain ownership of all data you upload and all reports generated from your engagements. The Company retains ownership of the platform, algorithms, and anonymized benchmark data derived from aggregate usage patterns (never individual client data).

6. Acceptable Use

You may not: reverse-engineer the Service; use it for unlawful purposes; share account credentials; attempt to access other users' data; or submit false information. Violation may result in immediate account termination.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS". WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. We are not liable for any valuation opinion, regulatory non-compliance, or professional consequences arising from your use of the Service.

8. Data Handling

Your data is handled in accordance with our Privacy Policy and DPDP Notice. All data is stored within India (AWS Mumbai region). You may request data deletion at any time.

9. Termination

Either party may terminate at any time. Upon termination, you may export your data within 30 days. After 30 days, data will be permanently deleted.

10. Governing Law

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka.

11. Changes

We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be notified via email 30 days in advance.
